I got a client-friend that's part of a company that made the mistake of letting another friend design the company website. The web-design friend no longer works at said company and left a sub-par site for them while taking off with all the passwords. The company wants to change the website but keep the domain name. They want me to talk to the previous designer in hopes of convincing him to giving me the passwords. However, I doubt it will work.
My question: Do I need to worry about any form of infringement by starting a new site with the same domain name under a different host? Will the old hosting site have any problem with that?
I have seen that there are some hosting sites that will allow domain name transfer, however they require information and authorization codes, which I do not have at the moment. Therefore, I need to know if I can just start fresh with only the old name.

Unfortunately no two people can have the same domain name, it just won't work regardless of what host you're with.
Domain name transfer will only work if you already own the domain name to begin with, therefore you will need the authorization codes.
If the domain name was paid for over a certain period of time you might be able to claim it once the registration runs out if you're lucky.
One way around it is to register the domain name under a different type ie. .com, .net, .org etc.
